Merchant Digital Agreement
This agreement is between G+ Market, operating under the G+ brand in Ghana (“G+”), and the person or business activating a shop, restaurant or food joint (“Merchant”). Checking the agreement box and submitting onboarding creates an electronic contract.
1. Authority and merchant status
You confirm that you are at least 18, have authority to bind the named business and have supplied accurate ownership, contact, payout and location information. You operate as an independent merchant, not an employee, agent, franchisee or partner of G+. You are responsible for your staff, premises, licences, registrations, taxes and legal compliance.
2. Marketplace services
G+ supplies storefront, catalogue, ordering, payment, notification, support and delivery-coordination tools. G+ may rank listings, run promotions, verify information, moderate content and update operational features. Activation does not guarantee orders, visibility, delivery coverage or a verified badge.
3. Fees, collection and settlement
- G+ Food and prepared-food orders: Merchant service fee is 5% of the item subtotal, uncapped.
- Regular G+ Market orders: Merchant service fee is 5% of the item subtotal, uncapped.
- Customer fee: 5% uncapped for food; 5% capped at GH₵20 for regular Market orders.
For online payment, G+ may deduct fees, refunds, chargebacks and other agreed amounts before settlement. For pay-on-delivery, you collect the displayed customer total on G+'s behalf and owe G+ both the Merchant fee and any customer fee included in that total. You authorise set-off against later settlements. Settlement may be held while delivery, fraud, identity, refund or dispute checks are completed. Any future fee change will be disclosed and, where material, will require a new acceptance or lawful notice before taking effect.
4. Listings, menus, stock and prices
You must keep titles, descriptions, photos, prices, options, preparation times and stock accurate. A confirmed order must be honoured at the displayed price unless the customer agrees to a change. You own or have permission to use every logo, image, menu, website and other item you upload. If you scan a physical menu, upload a file or provide a menu website for AI-assisted import, you authorise G+ and its processors to read it and create editable drafts. You must review every AI-generated item, price, allergen and option before publishing; you remain responsible for accuracy.
5. Food merchant duties
Restaurants and food vendors must maintain all required food-safety approvals, hygienic premises, trained handlers, safe storage and packaging. You must disclose known ingredients and allergens accurately, prevent cross-contamination as reasonably required, follow lawful temperature and expiry controls, and never supply unsafe or adulterated food. You must promptly pause unavailable items and reject orders you cannot safely fulfil.
6. Orders and fulfilment
You must monitor restaurant-related and Market notifications, accept or reject orders promptly, prepare only confirmed orders, meet displayed readiness estimates and update each order honestly. Use appropriate tamper-resistant packaging and release an order only to the assigned rider or verified customer. You may not divert a G+ customer off-platform to evade fees.
7. Customer care, refunds and chargebacks
You are responsible for missing, incorrect, defective, unsafe, counterfeit or materially misdescribed items attributable to you. G+ may investigate evidence, communicate with the customer and issue a refund or adjustment consistent with law and marketplace policy. You authorise deduction of merchant-responsible refunds, chargebacks and reasonable direct costs from sums owed to you, with an explanation recorded in your account.
8. Prohibited goods and conduct
Do not list illegal, counterfeit, stolen, recalled, dangerous or prohibited goods; manipulate reviews; create false orders; misuse personal data; harass users; or interfere with the service. Regulated goods may require licences, prescriptions, age checks or prior approval. G+ may remove content, pause orders, suspend access or report conduct where reasonably necessary for law, safety or marketplace integrity.
9. Data and communications
Use customer data only to fulfil and support the relevant order, protect it from unauthorised access and delete it when no longer lawfully needed. The Privacy Policy explains G+'s processing. You agree to receive operational communications, including restaurant-order notifications, through the G+ Market app, Merchant app, push, SMS, email or in-app inbox.
10. Records, audit and electronic signature
Your authenticated account, checked box, agreement version, source application and server-recorded time form evidence of signature and acceptance. You agree to electronic records, notices and signatures. Keep your account secure and promptly report suspected unauthorised access. G+ will retain agreement and transaction evidence as reasonably needed for legal, tax, accounting, safety and dispute purposes.
11. Intellectual property
You retain ownership of your merchant content and grant G+ a non-exclusive, worldwide, royalty-free licence to host, copy, format, display, promote and technically process it for operating and marketing the marketplace. G+ owns its software, brand and marketplace materials. No licence allows you to imitate G+ branding or claim endorsement.
12. Term and termination
This agreement continues until terminated. You may stop selling, subject to completing open orders and outstanding obligations. G+ may suspend or terminate access for material breach, repeated poor fulfilment, safety risk, fraud, non-payment or legal necessity. Accrued payment, refund, data, intellectual-property, liability and dispute obligations survive termination.
13. Liability and Ghana law
Each party remains responsible for its own acts. Nothing excludes liability that cannot lawfully be excluded. To the extent permitted by law, G+ is not liable for indirect or consequential loss or for more than the platform fees paid by the Merchant during the three months preceding the event giving rise to a claim. This agreement is governed by Ghanaian law. The parties will first try in good faith to resolve disputes through support, then may use a competent court or other agreed lawful process in Ghana.
